Opt My Strategy (OMS) Affiliate Agreement

This Affiliate Agreement (“Agreement”) is entered into between Trade Like A Machine Ltd, a company registered in England and Wales (“Trade Like A Machine”, “we”, “us”, “our”), and the individual or entity applying to participate in the OMS Affiliate Programme (“Affiliate”, “you”, “your”).

By submitting an application to the OMS Affiliate Programme, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement.

1. Definitions

“OMS” / “The Software” – The Opt My Strategy software product.

“Affiliate Programme” – The programme through which approved Affiliates may earn commission for referring new customers.

“Referred Customer” – A new customer who arrives via your unique Affiliate link and completes a qualifying purchase.

“Qualified Purchase” – A purchase that meets all criteria set out in this Agreement.

“Our IP” – All Trade Like A Machine trademarks, logos, copyrighted materials, and other intellectual property.

2. Enrolment in the Affiliate Programme

To join the programme, you must submit an application. We review all applications and may accept or reject them at our sole discretion.

We may reject applications for reasons including (but not limited to) websites or promotional channels that:

• Promote violence, discrimination, or unlawful activities
• Contain defamatory, obscene, fraudulent, or harassing content
• Infringe intellectual property rights
• Engage in spam or deceptive marketing practices

If rejected, you may reapply once the issues have been resolved.

3. Use of Affiliate Links and Promotion of OMS

You may display approved descriptions, reviews, or references to OMS and use the unique Affiliate link we provide.

You agree that:

• You will not use cookie stuffing, hidden iframes, or any method that sets cookies without user intent.
• Any promotional content referencing OMS must be accurate and pre‑approved by us if it includes claims, discounts, or pricing.
• You may not use our trademarks or brand terms in domain names, paid search ads, meta tags, or any misleading manner.
• You may not imply any partnership, endorsement, or official relationship beyond this Agreement.

Unauthorised use of our IP constitutes infringement and may result in termination and legal action.

4. Order Processing

We handle all order processing, payments, customer service, cancellations, and returns. All customers referred through your link are customers of Trade Like A Machine.

We may reject any order that violates our policies or applicable law.

5. Tracking of Sales

Sales are tracked via cookies assigned to users for 30 days.

If a user signs up for a free tier within that period, they remain attributed to you for up to 6 months.

You are responsible for ensuring your link is correctly formatted. We are not liable for tracking failures caused by:

• Incorrect link formatting
• User browser settings
• Cookie deletion
• Technical issues outside our control

Attribution of Referrals

If more than one Affiliate refers the same Referred Customer, commission will be paid to the Affiliate whose referral was the most recent referral event recorded prior to the Qualified Purchase. The “most recent referral” is determined by the timestamp of the referral event recorded by Trade Like A Machine’s tracking system. Affiliates may dispute attribution within 30 days of the referral appearing in the Affiliate Portal; Trade Like A Machine’s determination following any investigation is final.

Example: If Affiliate A’s link is clicked on 1 March and Affiliate B’s link is clicked on 10 March, and the customer purchases on 12 March, the commission will be paid to Affiliate B because their referral was the most recent prior to the purchase.

Activity shown in the Affiliate Portal is deemed accurate unless disputed within 30 days.

6. Product Pricing

All pricing is determined by Trade Like A Machine and may change at any time. Affiliates may not display or imply specific pricing unless explicitly authorised.

7. Commission Structure

You will earn commission according to the tiered structure in Appendix A.

A commission is only payable when:

• The customer is new, unique, and not already associated with us
• The purchase is a Qualified Purchase
• The customer remains active and fully paid‑up
• No refund, chargeback, or cancellation occurs
• No unauthorised discounts or incentives were offered by the Affiliate

Support & Updates purchases do not qualify for commission.

We may withhold commissions if fraud, suspicious activity, or excessive cancellations are detected.

We deduct previously paid commissions for refunded or cancelled purchases.

8. Commission Payments

• Payments are made via PayPal around the 15th of each month.
• A 60‑day hold period applies to all commissions.
• Minimum payout threshold: £100.
• You are responsible for keeping your contact and payment details up to date.
• Returned or undeliverable payments may be forfeited.

9. Affiliate Responsibilities

You are solely responsible for:

• Your website, content, and promotional materials
• Ensuring your content does not infringe third‑party rights
• Ensuring compliance with applicable laws (including advertising standards)
• Maintaining accurate, lawful, and non‑misleading representations of OMS

You agree to indemnify Trade Like A Machine against any claims arising from your promotional activities.

10. Use of Logos and Limited Licence

We grant you a non‑exclusive, revocable licence to use approved OMS logos solely for identifying your participation in the Affiliate Programme.

You may not:

• Modify our logos
• Use them in a way that harms our reputation
• Continue using them after termination

We may revoke this licence at any time.

11. Restrictions on Personal Use

The programme is intended for referrals to third‑party customers. Purchasing OMS for your own use via your Affiliate link is prohibited and may result in termination and forfeiture of commissions.

12. Email and Marketing Conduct

You must comply with:

• The UK Privacy and Electronic Communications Regulations (PECR)
• The UK GDPR
• All applicable advertising and anti‑spam laws

You may only send marketing emails to individuals who have given valid consent.

We may terminate your participation if we detect spam, misleading marketing, or abnormal click activity.

13. Service Interruptions

We will make reasonable efforts to keep our website operational but are not liable for downtime or interruptions.

14. Term and Termination

This Agreement begins upon approval and continues until terminated by either party.

Either party may terminate at any time by written notice.

Upon termination:

• You must cease using our IP immediately
• No commissions are payable for purchases made after termination
• Final payments may be held for up to 120 days to confirm validity

15. Modifications

We may modify this Agreement at any time by posting an updated version on our website. Continued participation constitutes acceptance.

If you do not agree to changes, your sole remedy is to terminate your participation.

16. Limitation of Liability

To the fullest extent permitted by law:

• We are not liable for indirect, incidental, or consequential damages
• Our total liability under this Agreement shall not exceed the total commissions paid to you in the preceding 12 months

Nothing in this Agreement limits liability for fraud or matters that cannot be limited under UK law.

17. Indemnification

You agree to indemnify and hold harmless Trade Like A Machine Ltd from any claims arising from:

• Your promotional activities
• Your breach of this Agreement
• Your misuse of our IP
• Any content or actions related to your website or marketing channels

18. Independent Contractor Status

You are an independent contractor. Nothing in this Agreement creates a partnership, joint venture, employment, or agency relationship.

19. Confidentiality

Both parties agree to keep confidential all non‑public information obtained through this Agreement, except where disclosure is required by law.

20. Governing Law

This Agreement is governed by the laws of England and Wales. Any disputes shall be resolved exclusively in the courts of England and Wales.

22. Entire Agreement

This Agreement, together with Appendix A, constitutes the entire agreement between the parties and supersedes all prior discussions or representations.

Notes: 1Qualifying purchases are the sum of referred Annual Subscriptions and One-Time Purchases. For example, if an affiliate has referred 120 Annual Subscribers and 90 One-Time Purchasing customers (210 total) this would place the affiliate in Tier Four (200 - 999 Sales) for subsequent referrals. Affiliate payouts for recurring subscriptions are paid at the rate applicable to the tier that was active when the customer first started their subscription. 2Example payouts for Annual Subscriptions are based on the current full list price of £349 per year (as of 29 January 2026).
