Software Name: Opt My Strategy (OMS)

Licensor: Trade Like A Machine Ltd

Licensee: The individual or entity installing or using the Software

1. Acceptance of Terms

By installing, accessing, or using the Software, Licensee agrees to be bound by these Terms of Service. Installation cannot proceed unless Licensee explicitly accepts these terms.

2. Grant of License

Licensor grants Licensee a limited, non-transferable, non-exclusive license to install and use the Software solely for personal or internal business use, subject to these Terms of Service.

3. License Types

• Purchased License: Grants perpetual use of the Software on a single device.
  • During the first year following purchase, Licensee shall be entitled to support and Software version updates as provided at the sole discretion of Licensor.
  • Entitlement to support and updates beyond the initial year requires purchase of an annual support and updates service.
• Annual Subscription: Grants use of the Software on a single device for a 12-month period, renewable annually.
  • Subscriptions automatically renew annually with payments taken using the Licensee’s selected payment method. Licensee must cancel at least ten (10) calendar days before renewal by emailing info@tradelikeamachine.com with account details and cancellation request.
  • Subscription Enforcement: Continued use is conditional upon timely payment. If payment lapses or subscription is cancelled, Licensee must immediately cease use and uninstall all copies.
  • During the subscription term, Licensee shall be entitled to Software version updates as provided at the sole discretion of Licensor.

4. Payment Terms and Refunds

• Payment Obligations: Licensee agrees to pay all applicable fees in full and on time. Failure to do so may result in suspension or termination.
• Auto-Renewal: Annual subscriptions renew automatically unless cancelled at least ten (10) calendar days prior to renewal.
• Refund Policy: Refunds are not generally offered. A free demonstration version of the Software is available on the Licensor's website to assess suitability before purchasing or subscribing. Refunds may be granted only in exceptional circumstances at the sole discretion of Licensor and are not guaranteed.

5. Restrictions

Licensee shall not:

• Copy, distribute, sublicense, lease, or sell the Software to any third party.
• Modify, adapt, translate, or create derivative works based on the Software.
• Reverse engineer, decompile, disassemble, or attempt to derive the source code.
• Remove, obscure, or alter any proprietary notices or branding.
• Use the Software in any manner that violates applicable laws or regulations.

6. Intellectual Property

The Software is licensed, not sold. All rights, title, and interest—including code, assets, trademarks, and documentation—remain the exclusive property of Licensor. Unauthorized use constitutes infringement and may result in legal action.

7. Audit and Compliance

Licensee agrees not to share their unique User ID used to activate and validate the Software. Licensor may monitor usage and installation data solely to enforce licensing compliance, in accordance with applicable privacy laws. If Licensee is found to have shared their User ID, the license will be terminated immediately without refund.

8. Confidentiality

Licensee agrees not to disclose, transmit, or make available any part of the Software to third parties, including technical details, architecture, algorithms, licensing mechanisms, or undocumented functionality. This obligation survives termination.

9. Data Protection and Privacy

Licensor collects minimal personal data solely to:

• Communicate with Licensee
• Verify legitimate use and prevent license sharing

10. Third-Party Components

The Software includes third-party libraries under their respective open-source licenses. Use of these components is subject to their respective terms, which Licensee agrees to comply with.

11. Feedback and Suggestions

Any feedback, suggestions, or feature ideas submitted by Licensee shall be deemed non-confidential. Licensor may freely use such input without obligation or granting rights to Licensee.

12. Support and Service Levels

Support is available via email or through the contact form on Licensor’s website.

• No phone support is offered.
• Initial response will be attempted within 24 hours (excluding weekends).
• Licensor will assess the issue and provide an estimated resolution timeframe if applicable.

13. Termination

This license remains effective until terminated. Licensor may terminate immediately for breach, non-payment, misuse, fraud, or violation of law. Upon termination, Licensee must uninstall and destroy all copies of the Software.

14. Disclaimer of Warranty

The Software is provided “as is” without warranty of any kind. Licensor disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

15. Limitation of Liability

Licensor shall not be liable for indirect, incidental, special, or consequential damages arising from use or inability to use the Software. Licensor’s total liability shall not exceed the fees paid by Licensee in the twelve (12) months preceding the claim.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales. Before litigation, parties agree to attempt resolution through good-faith negotiation or mediation.

17. Updates and Support

Licensor may, at its discretion, provide updates or support.

18. Entire Agreement

These Terms of Service constitute the entire agreement between Licensor and Licensee regarding the Software and supersede all prior or contemporaneous communications, representations, or agreements, whether written or oral. No waiver, modification, or amendment shall be effective unless made in writing and signed by both parties. If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.
